“Kushner-Linked Firm Withdraws Support in Warner Bid Battle”

Jared Kushner’s private equity firm, connected to President Donald Trump, has decided to withdraw its support for Paramount’s hostile takeover bid for Warner Bros. Discovery. Following Netflix’s acquisition agreement with Warner in early December, Paramount initiated a competing bid, offering $30 US per Warner share compared to Netflix’s $27.75 US bid.

Warner Bros., a prominent Hollywood studio owning Warner Bros. Pictures, HBO, DC Comics, and the Harry Potter franchise, holds a valuable portfolio that could significantly impact the streaming industry. Paramount’s strategy involved bypassing Warner’s management, citing lack of engagement with previous offers, and directly engaging shareholders with a higher bid.

Paramount publicly disclosed its offer details, providing Warner shareholders the option to tender their shares in support of the bid, which includes assets like CNN not covered in Netflix’s bid. Paramount aimed to ensure its bid might face less regulatory scrutiny under the Trump administration.

The decision to withdraw Kushner’s firm’s financial support alters the landscape, potentially impacting Paramount’s chances with Trump. Despite the change, Paramount’s bid retains backing from wealth funds linked to governments in the Persian Gulf. The company, under new leadership by David Ellison, son of major Trump supporter Larry Ellison, faces scrutiny amid Trump’s recent criticisms of the Ellisons.

Warner is currently evaluating Paramount’s offer to determine if it surpasses the deal with Netflix, with a decision expected to be communicated to shareholders shortly.
